Our Equity Capital Markets advisors have decades of combined experience in corporate finance and securities law. We have acted on many stock exchange listings and capital raisings by public companies and we regularly act for leading local, national and international broking firms on underwriting, lead management and private placement arrangements.

We understand that advising on corporate, transactional and financing matters requires professionalism and commerciality but also flexibility and agility.

Our team have developed strong relationships with the ASX and ASIC. We have team members who have previously held senior positions at the ASX, the corporate securities regulator ASIC and stockbroking firms, bringing extensive legal advisory and internal working knowledge of the regulatory bodies.

Our core capabilities in Equity Capital Markets transactions include:

  • due diligence;
  • regulatory compliance;
  • adviser and broker mandates;
  • initial public offerings;
  • stock exchange listings;
  • project finance mergers;
  • convertible notes and convertible loan arrangements;
  • employee incentive schemes;
  • underwriting and sub-underwriting agreements; and
  • rights issues and entitlement offerings.

Recent Experience

In January 2022, Business News published statistics on ECM deals in Western Australia, placing Blackwall fourth in the State by number of transactions (with 23 deals completed in Western Australia in the calendar year).  Recent IPOs include the MetalsX spinoff Nico Resources (ASX-NC1) in January 2022, Hot Chili’s (ASX:HCH; TSXV:HCH) dual listing on the TSXV in December 2021, Star Resources (ASX:SMS) and Openn Negotiation in the second half of 2021 (ASX:OPN).

This is the second year running in which Blackwall has been recognised as a leading operator in the ECM space.  According to Business News’ most recent Corporate Finance publication published in January 2021, Blackwall was one of only five legal firms that advised on multiple Western Australian IPOs in 2020, including the IPO and ASX-listing of Gindalbie spin-off Coda Minerals Limited (ASX:COD).

We have also recently assisted with several substantial placements in ASX-listed companies and have recently advised on the listing via reverse-takeover of a number of businesses in particularly challenging regulatory environments, such as medicinal cannabis and internationally-registered technology businesses.
